Addition of Director in a Private Limited Company
A director can only be added to a company with shareholder approval in a general meeting. Thus, by appointing a director at an annual general meeting or holding an extraordinary general meeting, a change in a company's directorship is possible. But often it's not possible to wait for an AGM or schedule an extraordinary general meeting. In these circumstances, a company can add an additional director to a board meeting and then regularize such director in the upcoming AGM.

- The director DIN
- Consent to serve as DIR-2 director
General or Extra Ordinary General Meeting:
- Notify directors to call the board meeting
- Pass a resolution of the board to call the meeting
- Send all shareholder note
- Resolution in AGM or EGM
- Form DIR-12 with MCA
Appointing additional director
- Notify directors to call the board meeting
- Pass appointment resolution
- Form DIR-12 with MCA
- Pass a resolution at AGM time to regularize the additional director
- Form DIR-12 with MCA
